Terms.
What you agree to when you run an audit or engage us. Including what we will not put our name to.
1. Who these apply to
Local Site Growth is a sole trader business in Christchurch, New Zealand.
They apply when you run the website audit or engage us for a project. Using either means you accept them.
2. The website audit
An automated review of an address you enter. No cost, no obligation, either way.
It is information about a website, not advice about your circumstances. It commits us to no work and you to no purchase.
3. What we will not promise
Rankings. Enquiries. Traffic. Revenue.
Those turn on your market, your prices, your competitors and your reputation. A website does not control any of them, and anyone promising you a position is selling you something.
We commit to the work set out in the scope you agree to, built to a professional standard and tested across common devices and browsers.
4. Your content
Text, images, logos, video. You warrant that anything you supply is yours to use, or that you hold the rights to use it. Claims arising from material you give us are yours to answer.
5. Ownership
The finished website becomes yours on final payment. Until then the site and its files remain ours.
The domain is registered in your business name from the start. Not ours.
6. Timeframes
The duration is written into the scope you agree to, and it runs from the day your content is in hand rather than from the day you say yes.
An estimate, not a deadline. Late content or late feedback moves it, and we say so at the time rather than afterwards.
7. Scope and changes
What is included is written down before work starts, and that includes how many rounds of feedback the build covers. Anything past what the scope names is a change, handled as below.
Changes after work has begun can move the timeline or the cost. Agreed with you in writing first. Never invoiced afterwards.
8. Payment
Price and payment terms are agreed in writing before any work begins, including whether GST applies. Nothing is invoiced that was not agreed first.
9. After launch
Hosting, care and support are separate, agreed individually in writing. Nothing continues by default, and nothing recurring starts unless you ask for it.
10. Stopping
Before any work has started, withdraw at no cost.
Once work has started, stopping is settled in proportion to the work actually done, agreed with you in writing before anything stops. You keep what has been paid for.
11. Confidentiality
Non-public information either of us learns during a project stays confidential, and is used only for that project.
12. Liability
We are not liable for losses caused by third-party services outside our control, or by material you supplied.
As far as the law allows, our total liability for any claim is limited to the amount paid for the project it relates to, and excludes indirect or consequential loss. Nothing here removes a right under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 that cannot lawfully be removed.
13. Beyond our control
Neither of us is liable for a delay caused by circumstances reasonably beyond our control.
14. Disputes
We talk first, in good faith. These terms are governed by New Zealand law, and the New Zealand courts have exclusive jurisdiction.
15. General
These terms can change. A change applies from the date it is posted, and the terms in force when a project is engaged govern that project.
If part of this is unenforceable, the rest stands. These terms and the written project agreement are the whole agreement between us.
